Key Responsibilities:Contractual Management:Draft, review, and negotiate a wide range of contracts, including but not limited to, supplier agreements, service contracts, distribution agreements, and partnership contracts.Provide legal advice on contractual matters, ensuring compliance with legal and regulatory requirements.Manage contract lifecycle, including renewals, amendments, and terminations, ensuring timely execution and adherence to contract terms.Develop and implement standardized contract templates and procedures to enhance efficiency and mitigate risks.Corporate Governance & Company Secretarial Duties:Serve as the Company Secretary, ensuring compliance with statutory and regulatory requirements, and maintaining high standards of corporate governance.Prepare and manage board meeting agendas, minutes, and resolutions, ensuring all corporate records are maintained accurately.Advise the board on corporate governance best practices, including the development and implementation of governance policies.Liaise with external regulators and advisors such as lawyers and auditors on company legal matters.Ensure the company complies with all legal and regulatory requirements, including filing annual returns and maintaining statutory registers.Legal Advisory:Provide legal counsel to the management team on a broad range of issues including commercial law, employment law, intellectual property, and litigation.Manage and mitigate legal risks by designing and implementing company policies and procedures.Handle legal disputes and manage relationships with external legal counsel when necessary.Compliance & Risk Management:Ensure the companys operations comply with legal and regulatory requirements, particularly in areas of contract management and corporate governance.Develop and maintain a comprehensive compliance framework to manage legal risks across the business.Conduct regular audits to ensure adherence to internal policies and legal standards.Team Management:Lead and manage the legal department, providing guidance and support to junior legal staff.Foster a culture of legal awareness across the company, conducting training sessions for staff on legal and compliance issues. Qualifications and Experience:Education:LLB degree or equivalent from a recognized institution.Admission as an attorney or advocate is required.Experience:Minimum of 5-7 years of experience in a legal role, with a strong focus on contract management.Previous experience as a Company Secretary, with in-depth knowledge of corporate governance and compliance.Proven track record of handling complex legal matters, including drafting and negotiating high-value contracts.Skills:Excellent knowledge of commercial law, contract law, and corporate governance.Strong analytical and problem-solving skills, with the ability to think strategically and provide sound legal advice.Exceptional communication skills, both written and verbal, with the ability to convey complex legal concepts in a clear and concise manner.High level of integrity and professionalism, with a strong commitment to upholding legal and ethical standards.Ability to manage multiple tasks and work under pressure in a fast-paced environment.
