The Governance Manager will be responsible for developing, implementing and overseeing the governance framework within Glacier. The role will support the Glacier Board and Exco in executing their responsibility to ensure compliance with regulatory requirements, enhance risk management practices, and promote a culture of good governance across the organization. It will be this individual's responsibility to ensure the business stakeholders have clear knowledge and understanding of the regulatory framework and the monitoring and review thereof. The role is integral to the smooth operational functioning of the Glacier business, providing understanding of governance requirements and monitoring of adherence to these requirements. While the Governance Manager will report to the Glacier COO, there will also be a dotted reporting line to the Glacier CEO. The Governance Manager will collaborate with both the COO and CEO to manage the implementation of regulatory changes and to support the Glacier Exco team by providing insights on governance, risk management, and compliance. KEY OUTCOMES The Governance Manager will have the following key responsibilities: Governance Framework: Develop, implement, and maintain the governance framework, including policies, procedures, monitoring, controls and standards. Risk Management: Identify, assess, and mitigate governance-related risks. Advisory Services: Provide governance advisory services to senior management and other stakeholders. Monitoring and Reporting: Monitor governance practices and prepare regular reports for the board and senior management. Training and Development: Conduct training sessions to promote awareness and understanding of governance practices within the organization. Stakeholder Engagement: Liaise with regulatory bodies, auditors, and other external stakeholders on governance matters. AML Oversight: Oversee Anti-Money Laundering (AML) compliance and ensure effective implementation of AML policies and procedures. Regulatory Change Implementation: Manage the implementation of regulatory changes and ensure the organization adapts to new regulatory requirements. Regulatory Liaison: Act as the primary point of contact with regulators, facilitating communication and ensuring compliance with regulatory expectations. Report Facilitation: Facilitate the compilation of regulatory and statutory reports from a first-line perspective, ensuring accuracy and timeliness. Second Line Compliance: Oversee second line compliance functions to ensure robust compliance management. Conduct Risk Management: Assist in the development and implementation of conduct risk management programs, including Treating Customers Fairly (TCF) initiatives. Thought Leadership: Thorough understanding of the regulatory environment as well as the basic principles and objectives of the LISP/Life platform, AML control, FICA and FAIS (Code of Banking Practice advantageous). Qualifications and experience B. Juris / BA Law / B. Proc / LLB / BCom / Other commercial degree. Certificate or Diploma in Compliance Management or Financial Planning. Meet the FAIS Fit & Proper requirements to be a FSCA registered Compliance Officer (Cat I, II, III) will be advantageous. MBA or equivalent qualification will be advantageous. Experience in Financial Services, preferably in the Platform industry. Minimum of 5 years' experience in Compliance, Legal and Risk Management within the Financial Services Industry, with a minimum of 3 years' experience in leading a team. Experience with Sanlam's Compliance, Legal or Risk management processes is an advantage.
