Requirement OverviewThe purpose of this position is to render timely, effective, and professional services as related to:secretarial and governance support services to the Material Irregularity Committee (MIC) and the Advisory Committee on Material Irregularities (ACMI)overseeing, facilitating and managing the Material Irregularity reportingRoles & ResponsibilitiesStrategic FunctionDevelop and maintain the Material Irregularity secretariat and governance process, policies and related procedures.Ensure defined secretariat and governance processes are in line with best practice in the field and meet all legislative and regulatory requirements.Contribute to the drafting of all organisational reports, including the internal quarterly reports and the integrated annual report related to MI/ MIC/ ACMI.Product ManagementMaterial Irregularity Process SupportSchedule monthly and special MIC meetings and ensure quorum have confirmed attendance of these meetings.Ensure venue and relevant technology support systems have been reserved for the MIC meetings.Distribute the prepared MIC submissions to the MIC members and technical advisors.Receive information and submissions from audit business units due for consideration by the MIC.Prepare MIC resolutions and coordinate the approval process thereof. Distribute the approved resolutions to relevant parties.Review prepared minutes of the MIC meetings along with updating relevant action points to be executed and resolutions.Oversee the facilitation and preparation of the AGSA submissions to the ACMI.Ensure MIC and ACMI resolutions to impacted stakeholders.Legal ComplianceEnsure compliance with relevant regulatory requirements, standards, codes, and best practice.Provide governance and company secretarial support to the MIC for matters requiring approval, including reviewing and drafting resolutions taken by the MIC.Ensure approvals obtained for all resolutions and any queries from MIC members are adequately addressed.Provide guidance and company secretariat support to the ACMI for matters requiring their consideration.Apply knowledge and experience of corporate governance in a regulated environment and keep up to date with changing requirements in the public services sector.Overall application of sound governance and legal practices for effective risk management and sustainable reporting.Case Management SystemResponsible for supporting the governance process relating to the development and implementation of the case management system.Secretarial and Governance Support Material Irregularity Structures:Oversee the rendering of a specialised secretarial and governance advisory service to the MIC and ACMI.Develop a membership profile and procedure for the recruitment and appointment of members in line with current governance practice.Develop and regularly review the effectiveness of the terms of reference of the relevant committees.Induct members of the respective committees.Oversee the logistical arrangements for meetings of the MIC and the ACMI.Control the exchange of documents for purposes of meetings of the committees.Provide practical support to the identified governance structures on their roles and responsibilities.Ensure through guidelines that the identified governance structures comply with their mandate in the conduct and running of their meetings.Oversee the resolutions register of the MIC and ACMI.Oversee the Record and Document ManagementOversee the implementation and maintenance of the record and document management system for the relevant committees to ensure the safeguarding of documentation of the relevant committees.Ensure cooperation with Corporate Legal Services on all matters relating to the disclosure of documentation relevant to the material irregularity process.Ensure adherence to legal and standard requirements relating to confidential, classified and secret information.Ensure timely updating of records on the case management system relating to MI matters within the Secretariat function.Stakeholder ManagementOwn and manage relationships with relevant internal and external stakeholders.Liaise and interact with key stakeholders & management to share information, resolve challenges and make recommendations for improvements.Ensure timely communication of progress reports to the relevant stakeholders, customised per stakeholder needs.People ManagementImplement the activities outlined in the BU people plan.Manage own performance and drive productivity.Contribute to the achievement of the transformation/culture plans of the BU and the organisation.Motivate, coach and mentor staff to enable their development.Participate in initiatives to attract and retain talent.Financial Management and Operational ManagementOversee the financial management relating to the activities of the MIC and ACMI.Contribute to the development of the business unit's budget and manage the allocated project expenditure.Ensure compliance with internal processes and procedures.Contribute to the risk assessment activities in the BU and the organisation.Other Responsibilities (Applicable to All JD's)Perform and/or manage other projects, tasks and assignments not stipulated on the Job description as and when required.Skills, Experience & EducationFormal EducationThis position requires a degree in Law (LLB) and CGISA professional qualification.ExperienceMinimum of 5 years' secretariat experience (post qualification) and at least 4 years as a Company Secretary.Added Advantage: Experience in the Public Sector.Closing Date: 16 August 2024Closing StatementThe AGSA is not responsible for the verification of data provided and shall not be liable for any errors, factual, transcription or otherwise, contained in the information posted.
