IntroductionJob Purpose/ Job Summary: To administer and manage Issuer Operations and Meetings with regards to regulatory compliance and overall functioning in Registry.
Operations ManagementManage and monitor daily Issuer operational tasks administered by the operations team to ensure operations are executed to the highest standards.Responsible for carrying out direct instructions from Issuers such as allotment of new shares, cancellations, execution and mailing and E-Comms, and analysing the share register.Facilitating and performing the duties of Scrutineers at shareholder meetings; conducting internal audits of all transactions performed on the share registers.Responsible for back-office processing, administration, and facilitation of legacy client meetings, provision of pre-lim and final meeting results.Assist with back-office processing and facilitation of meetings for large clients.Administer the migration and balancing of new share registers and establish operational relationships with the respective Issuers.Attend meetings with previous Transfer Secretaries and project manage new migrations.Peruse daily SENS, news portals, SARS portal, Companies Act and JSE updates to identify and align business processing to legislative changes.Review and compare monthly departmental billing sheets to Issuer invoices to identify and eliminate revenue leakage.Attend Issuer operational meetings when required and provide guidance on complex requirements and special project planning.Attend meetings with legislative institutions such as Strate, SARS, FSCA, Compliance, etc. to provide technical feedback from a Registry perspective.Assist business unit managers to review and amend standard operating procedures for all business units within Registry.Assist with technical testing of new IT and operating developments for all Registry companies.Assist with periodical review and alignment of risk registers prior to final review and sign-off by Registry Executive.Identify operational risk areas in line with projected system developments and legislative changes.Review all media notices to identify new business opportunities which will increase revenue.Assist with administration and review of monthly and ad-hoc billing and invoicing.Administration of various reports to assist with review and feedback on monthly financial management accounts.Assist with effective, efficient, economical, and transparent use of financial and other resources.Assist with maintaining the existing client base and avoid loss of any current clients.Stakeholder ManagementWork collaboratively with stakeholders by establishing and maintaining effective internal and external relationships.Represent JIS in meetings with internal and external stakeholders.Solve problems creatively whilst demonstrating a high level of integrity in line with the company's core values.Provide advice and guidance on stakeholder-related matters.Manage relationships in accordance with policies, procedures, and legal requirements.Establish and maintain operational relationships with all Issuers.People ManagementMonitor and measure performance according to policy by conducting employee appraisals.Identify areas of development and compile action plans to address poor performance.Ensure ongoing training and development of employees.Address employee relation matters fairly and promptly.Set performance objectives for the team in alignment with the organization's initiatives.Ensure that all employees have signed performance agreements.Coach and mentor staff as appropriate to improve performance.Continuously assess risks in line with current processes and implement controls to mitigate them.Review and submit risk registers in accordance with Compliance requirements.Provide feedback to Internal Audit and Compliance regarding the risk register.Administer departmental complaints register and provide feedback to Compliance within required timelines.Minimum RequirementsDegree will be advantageous.10 years of Registry operational experience, with at least 7 years in a managerial capacity.Knowledge and Skills requiredUnderstanding of regulatory environment, laws, acts, and rules.Understanding the functions of all business units within Registry.Knowledge of all Transfer Secretarial services.Understanding the different functions of all legislative institutions.Knowledge of current and historic shareholder classifications on registers.Trading, settlement, and timelines for certificated and dematerialised accounts.All types of elective and non-elective corporate events for listed companies.Knowledge of unlisted share registers and OTC license requirements.Extensive knowledge in the administration of sub-registers and related control accounts.Extensive experience and operational knowledge of listed and unlisted Issuers.Distribution of shareholder communication timelines in terms of the Companies Act.Meeting timelines as outlined in the Companies Act.Company's Act knowledge on all sections that affect Issuers.Extensive tax knowledge and awareness of SARS requirements.Strate Rules and Directives.General Financial knowledge.JSE Listing Requirements.Well established relationships with clients in the market.Well established relationships with identified industry bodies such as Strate.Experienced scrutineer and TS representative for Issuer meetings.Former committee member / TS representative in operational workshops.
