Overall PurposeThis role provides hands-on professional service to corporate clients, including managing day-to-day client relationships, supporting client transactions, coaching junior team members, and ensuring timely delivery of client deliverables.Reporting LineReports to the Manager of Corporate Governance and Secretarial Services, based in Cape Town.Key ResponsibilitiesClient Management: Collaborate with Customer Relationship Managers to coordinate client matters such as incorporations, liquidations, and capital increases.Client Liaison: Serve as the main point of contact for assigned clients.Compliance: Ensure adherence to JSE Listing Requirements and international business law where applicable.Documentation: Prepare standard shareholder resolutions and board meeting materials.Meeting Coordination: Organize client board meetings and manage client onboarding processes.Record Maintenance: Maintain statutory and administrative records, and manage the corporate calendar.Financial Administration: Arrange payments for fees and expenses per vendor contracts and work with the AML/KYC team on due diligence.Qualifications and Experience3-5 years of experience in company administration, with a preference for experience in Corporate Secretarial duties for listed companies.Strong understanding of company law, commercial contracts, and Private Equity and Debt structures.Corporate Secretarial qualification or equivalent, with a diploma or relevant financial services qualification preferred.Degree in Law, Financial Services, or Accountancy.Competencies, Skills, and BehaviorsFluent in English, with excellent written and verbal communication skills.Ability to organize and prioritize work efficiently in a high-pressure environment.Strong adherence to risk management practices.Proactive, with proven analytical and problem-solving skills.
