To provide specialist board support and secretarial services to allocated portfolios of subsidiary companies' boards, and board and management committees to ensure compliance of the organisation in relation to financial and legal practices, as well as issues of corporate governance. Provide specialist advice and guidance to directors and management, including those of the subsidiary companies, on governance matters and guide the board and committees to function effectively and efficiently.
ResponsibilitiesProvide specialist advice and guidance to directors and management, including those of the subsidiary companies, on governance matters and guide the board and committees to function effectively and efficiently as well as adopt the highest standards of corporate governance.Provide subject matter expertise as it relates to financial and legal practices, as well as issues of corporate governance to ensure compliance with the applicable statutory, regulatory and corporate governance requirements for boards and management committees.Provide regulatory governance advice to stakeholders, interpreting and implementing business requirements in order to establish the highest standards of corporate governance across all countries and jurisdictions.Research, draft and review governance documentation including regulatory returns and submissions to ensure compliance with the applicable statutory, regulatory and corporate governance requirements for boards and management committees of legal entities.Provide full board meeting professional services to the subsidiary boards and other agreed board committees to achieve governance best practice. Draft and review minutes for boards and committees.Review and process statutory documents to ensure compliance with the Companies Act. Conduct routine filings at the Companies and Intellectual Property Commission (CIPC) in line with Companies Act.QualificationsMinimum Qualifications Type of Qualification: First Degree
Field of Study: Business Commerce, Corporate Governance, Finance and Accounting, Legal

Experience Required Governance
5-7 years
The role requires an expert in Corporate Governance with good knowledge of the full dimensions of the field and deep expertise and knowledge of the Companies Act and other regulations in this area of specialization. Minimum of 7 years experience required.
