IntroductionThe National Empowerment Fund is looking for a Senior Legal Advisor - Litigation who will join our Legal Services team on a fixed-term contract. The purpose of this role is to provide sound legal support to post-investment monitoring of investments where there are emerging defaults on loan servicing. Active involvement in deal re-structuring, understand and analyse the commercial aspects of the transaction and give expert legal solutions.
ResponsibilitiesProvide sound legal support to post-investment monitoring of investments where there are emerging defaults on loan servicing.Provide prompt and sound legal advice and support to the NEF, particularly the Post Investment Department & Turnaround, Workouts and Restructuring department.RecoveriesProvide legal input to submissions on existing investments prepared for the Portfolio Management Committee and other relevant committees.Implement Committee decisions to recover monies and ensure rights of NEF are protected.Negotiate settlements.Brief external attorneys.Implement and monitor debt recovery, litigation, liquidation, and all other legal and Court processes, whether or not outsourced to external law firms.Turnarounds, Workouts, RestructuresBusiness rescue and restructuring.Understand instruments, draft agreements, litigate, and sequestrate.Implement the restructuring of companies, draft and review all legal agreements relating thereto.Manage budgets and relationships with external lawyers.Address all legal matters relating to the NEF and its investee companies, implement amendments to funding structures and terms, and negotiate contracts with investee companies or third parties.Provide general legal advice to the NEF's various departments.QualificationsLLBAdmitted AttorneyExperience/Skills requiredAt least 8 years' experience post articles in a similar environment (e.g., Private equity, Corporate finance).At least 8 years litigation, business rescue, and Court experience.Experience in securities law, insolvency law, and general commercial law.Proven working knowledge of Company law, Tax law, and NCR.Business report writing skills.MS Office suite knowledge.Experience in Turnarounds, Workouts, and Restructuring is advantageous.Professional and courteous to all clients (internal and external).Accuracy in preparing legal documentation.Ability to advise on legal issues related to NEF business.Ability to convey legal opinion and argue legally.High leadership qualities and teamwork.Strong sense of initiative and self-motivated.High sense of analysis, attention to detail, and judgement.
