Senwes is currently seeking the services of a Senior Legal Advisor to provide commercial legal advice, draft a range of documents, manage deals, ensure compliance, and manage legal commercial risks.Provide legal advice and deal managementConsult with clients to determine the nature of advice required.Evaluate facts and apply them to the legal position.Advise accordingly.Deal management/project management.Analyse the commercial aspects of the transactions.Ensure agreements and documents are legally accurate and mitigate commercial risks.Ensure agreements/documents are compliant with the latest legal developments.Consult regularly with the team on proposed structures, developments, and legal implications thereof.Manage merger applications (Competition law).Ensure deals are properly executed.Draft and verify complex commercial contracts/agreements/due diligence investigationsAttend due diligence assessments relating to the company's acquisitions.Perform legal due diligence assessment on deals.Establish the nature of agreement required.Draft, vet, and negotiate a range of complex commercial agreements and documents e.g., MOU's, term sheets, M&A agreements, sale of shares, sale of business, security documents, prospectuses, notices, etc.Verify final draft and discuss with the client.Advise on execution and provide guidelines.Evaluate existing agreements and propose changes.Approve final contracts/agreements for signatures.Ensure application and compliance with governance and legislative requirements.Negotiation and settlement of commercial disputesAttend to resolution of disputes by means of mediation, arbitration, or litigation.Draft settlement agreements.Ensure implementation.Provide commercial litigation servicesComprehensive preparation and evaluation of litigation/claims/applications.Instruct attorneys to take appropriate legal action.Manage process and ensure compliance with legal procedures.Legal cost budget management.Monitor and evaluate legal accounts and advise accordingly.Ensure legal and procedural complianceIdentify and research relevant legislation.Advise on requirements for laws.Prepare, execute, and monitor compliance-specific programmes.Report to and liaise with regulators.Training of role players.Ensure that relevant policies and procedures are in line with legislation.Qualifications: BCom Law/LLB/Admitted Attorney. Candidates with experience as a practicing conveyancer and notary will enjoy preference.Requirements: 8 years in legal specialised commercial practice/commercial in-house counsel environment.
