Our ClientOur client is a fully integrated energy firm, based in Cape Town, delivering renewable energy solutions to commercial and industrial clients, collaborating closely to achieve their net-zero goals and simultaneously reducing energy expenses.Position OverviewAs a Senior Legal Advisor, this role is part of the Legal Team providing primary support to the Transactions Team, which is responsible for taking renewable energy projects from Preferred Bidder status to Financial Close and for the Project to be ready to enter the construction phase. The role reports into Head: Legal and Trading and is a "stand alone" type role where self-management is key.Qualifications and RequirementsBachelor's Degree in law4-5 years of relevant banking and finance, corporate and project experienceAt least 3 years of experience on Project Finance transactionsRenewable energy Project experienceStrong private PPA experience in the C&I sector or strong project document experienceStrong Contract drafting (ability to take a template doc and edit it appropriately)In-depth knowledge and understanding of relevant legislationResponsibilitiesSupporting on the implementation of various transactions and bringing renewable energy project transactions to Financial Close through the negotiation, preparation and review of all legal agreementsLeading the legal review, negotiation and approval of different Project documents (Master Energy Supply Agreements, EPC, O&M) and finance documentsSupporting the Head of Legal with legal advisors' appointments and leading the legal due diligence process together with external advisorsSupporting the Head of Transactions on the structuring of transactions across sales in the commercial and industrial sector to blue chip off takers, EPC, O&M and negotiating financing and related transaction documentsCoordinating with other departments to meet timelines and deliverables to reach Financial CloseSupporting the team in the acquisition of secondary market opportunitiesSupporting the development team on tender/RFP submissions, if requiredAssisting on the negotiation of mandates and term sheets with lendersManaging the drafting of various notices and obtaining various consents in accordance with the lender's CP ChecklistManaging the Conditions Precedent (CP) ChecklistLeading the legal review on the preparation and implementation of transaction documents as requiredAs part of the Legal Team, to support other in-house teams responsible for development and implementation of Projects (such as Development, Asset Management and PPCM), when capacity allows
