Assistant Company Secretary Core Description Responsible for high level provisioning of high-level support to the to the Group Company Secretary in relation to corporate governance, ensuring compliance with requirements of the Companies Act, Code on Corporate Governance and JSE listings requirements, Delegation of Authorities, internal processes and board resolutions
Job Responsibilities Providing high level support for the Group Company Secretary, the Group Exco Team,the Boards of Directors of Discovery and all its subsidiaries and Regulators.  Providing high level support at/ for strategic workshops & meetings, board evaluations and implementation, as well as tracking of Performance Management, including, but not limited to: Handling activities which are logically carried out by a Group Secretariat Supporting and coordinating directors# activities (board performance assessment, board training and awareness (including Subsidiaries)). Facilitating relations between management and Board and Committees (including Subsidiaries). Ensuring proper statutory administration. Ensuring compliance with requirements of the Companies Act, Corporate Governance practices and JSE Listing Requirements. Providing high level advice and guidance on corporate governance matters. Ensuring leadership and performance that is aligned with the Telkom culture and values. Ensuring regulatory and corporate governance compliance Attending and guiding all statutory company secretarial needs of the Group. Guiding the submission of regulatory returns to CIPC as well as relevant notifications and applications to the various regulators. Providing ongoing support to the Board and Board Committee chairperson, and Group Exco Members. Attending Board and its Committee Meetings of the Board, including other subsidiary governance structures. Providing general secretariat, governance and other services that may be required from a Company Secretary. Attending to all director and committee member queries. Reviewing and implementing of the Delegation of Authority for the Group. Reviewing and implementing of the Board Charter, Committee Mandates and Annual Work Plans Management of Board Evaluation Processes. Developing and implementing of the Corporate Governance Corporate Calendar for the Group (including Subsidiaries). Developing initial appointment letter and other documents. Preparing of Written Resolutions (Round Robins) for the various governance structures. Preparing of certified extracts from various governance structures and distribution thereof to relevant person(s). Updating policies with amendments approved by relevant committee / board and preparing execution copies. Assisting in the preparation of prescribed submissions to the regulator e.g., notification of termination/ appointment of key individuals. End-to-end Board and Committee meeting administration: Preparing and drafting agendas and other meeting papers for the Board and its Committees (including designated Subsidiaries). Preparing meeting packs for the Board and its Committees (including designated Subsidiaries). Preparing meeting packs to ensure compliance with statutory and corporate governance prerequisites. Technical Knowledge Companies Act, JSE Listings Requirements, King IV Code of Corporate Governance, Project Management; Products; Administration; Financial Management; Communication; Computer; Company secretariat/ statutory/ governance/ stock exchange Education and Qualifications Relevant Tertiary Qualification CGISA – advantageous Membership of the Institute of Chartered Secretaries and Administration (ICSA) will be anadded advantage Experience Minimum 5 years experience in a Company Secretariat
Excellent drafting skills, particularly in respect of minute taking and attention to detail.
Good administration and organisational skills.
Excellent communication and interpersonal skills.
Ability to work under pressure.
Experience in working in the Group Secretariat or similar environments.
