Overview: A diversified business conglomerate with operations across various sectors is looking for an in-house legal counsel. It is primarily involved in areas such as logistics, transportation, property development, and hospitality. The group has a significant presence in Southern Africa and has expanded its portfolio to include investments in mining, agriculture, aviation, and telecommunications.
Duties and Responsibilities: Provide legal advice and support to the diversified business conglomerate on a wide range of legal issues related to its operations in logistics, transportation, property development, hospitality, mining, agriculture, aviation, and telecommunications. Draft, review, and negotiate contracts, agreements, and legal documents across various sectors, ensuring compliance with applicable laws and regulations. Conduct legal research and analysis on complex issues affecting the conglomerate's business activities, including regulatory compliance, corporate governance, and risk management. Advise senior management and business units on legal implications of business strategies, transactions, and initiatives. Manage and oversee litigation matters, including liaising with external counsel and representing the conglomerate in legal proceedings when necessary. Develop and implement legal policies, procedures, and guidelines to ensure consistency and best practices within the conglomerate. Monitor legislative and regulatory developments in Southern Africa and other relevant jurisdictions, advising on potential impacts and ensuring proactive compliance. Collaborate with internal stakeholders, including executives, department heads, and operational teams, to address legal issues and support business objectives. Provide training and guidance to employees on legal matters relevant to their roles and responsibilities within the conglomerate. Requires experience and qualifications: Minimum of 10 years of experience specializing in Mergers and Acquisitions (M&A), preferably within a diverse corporate environment. Bachelor of Laws (LLB) or Bachelor of Commerce in Law (B.Com Law) from a recognized institution; additional certifications or coursework in M&A, corporate law, or commercial contracts are advantageous. Proven track record of successfully handling complex M&A transactions, including due diligence, negotiations, and post-merger integration. Strong drafting skills with the ability to prepare and review a wide range of commercial agreements, ensuring clarity, accuracy, and compliance with legal standards. Extensive knowledge and practical application of Companies Act regulations and corporate governance principles. Ability to work effectively under pressure, manage multiple priorities, and meet deadlines in a dynamic business environment. Strong interpersonal and communication skills, with the ability to interact confidently and effectively with senior management, stakeholders, and external parties. Proactive approach to legal issues, with a strategic mindset and the ability to provide sound legal advice and guidance on complex matters related to M&A and corporate governance.
