PURPOSE OF THE JOB
Managing Samancor Chrome group compliance, and company secretarial function at Samancor Chrome. BALANCED SCORECARD PILLARS, ROLES AND RESPONSIBILITIES:
SAFETY, HEALTH, ENVIRONMENT AND QUALITY
Identify and assess level of issue based risk exposures in area of responsibility by considering exposures to the business, financial and legal issues, people, equipment, material, environment, processes, etc.
Consider the level of risk, apply mitigation and implement control measures for residual risk (set objectives, minimum requirements, etc.)
Manage SHEQ compliance within the Department through effective use of the Toolbox
Utilise the Integrated Management System (IMS) to analyse, identify trends, initiate, mitigate, investigate and report SHEQ status
PEOPLE
Manage the Department:
Ensure an enabling climate/culture
Manage labour stability by minimising labour turnover
Labour complement in line with budget
Achieve HDSA/Female targets for the Department
Manage performance against set targets and competencies
Ensure IDP's are linked to performance results and implemented as per plan
Conduct career discussions and implement actions with all identified talent (quarterly)
Ensure discipline is maintained (absenteeism, lateness, overtime, misconduct, etc.)
Coach and counsel people to ensure improved performance levels
Conduct recruitment interviews
Facilitate training sessions
CUSTOMERS
Maintain and improve relationships with key stakeholders
Ensure customer and supplier satisfaction
BUSINESS PROCESSES
Company Secretarial and Compliance:
Attend to various filings at CIPC (eg change of directors, file annual returns, etc)
Comply with beneficial ownership
Maintain share registers
Perform secretarial duties for various committees, board and shareholder meetings
Compliance with BBBEE requirements
Anti-Bribery and Corruption – policy drafting, research develop training programmes
Occupational Health and Safety – policy drafting, research, develop training
Ensure compliance with relevant Legal Practice Act and legislation.
Ensure compliance with Companies Act
Drafting agreements, policies, etc
Facilitate training sessions
General assistance to the HOD, and ad hoc duties as assigned by the HOD
AML / FICA Compliance
Perform an oversite role over the FICA Compliance Officer in respect of the onboarding of clients
Submit risk returns to the FIC on a regular basis
Conduct AML / FICA research, Interpret and apply AML legislation and regulations
AML onboarding induction training: Develop fit-for-purpose training material and facilitate AML induction training
Assist the FICA onboarding officer with the more technical part of the onboarding process. This requires a good understanding of beneficial ownership of companies, as well as the ability to determine who exercises effective control over a company

Knowledge:
Demonstrate an understanding of the different entity types, how they operate and general governance.
Demonstrate an understanding of MOI's and Shareholder agreements.
Company law knowledge and exposure.
Drafting experience with regards to policies, procedures, committee mandates, agreements, etc.
Demonstrate an understanding of BBBEE compliance requirements.
Demonstrate an understanding of Legal Practice.
Demonstrate an understanding of anti-bribery and corruption.
Demonstrate a basic understanding of Occupational Health and Safety Act as well as Mine Health and Safety act.
Minimum qualifications:
LLB Degree
8 years' relevant experience, preferably 4-6 years company secretarial experience at a reputable company
Company law knowledge and exposure
Additional qualifications:
CGISA / Chartered Secretary qualification
Preferable Post-Graduate Diploma in Compliance / Certificate in Compliance
