Our client is seeking a Legal Counsel Transactions to join their team. As a Legal Counsel this role is part of our client's Legal Affairs Team. This role shall provide primary support to the existing Legal Counsel for the Transactions Team, which team is responsible for taking renewable energy projects from Preferred Bidder status to Financial Close and for the Project to be ready to start construction. Responsibilities: Supporting on the implementation of various transactions and bringing renewable energy project transactions to Financial Close through the negotiation, preparation and review of all legal agreements. Supporting the legal review, negotiation and approval of different Project documents (PPA, IA, DA) and Financial documents (CTA, facility agreements and security documents). Supporting on legal due diligence process for projects. Supporting the development team on tender submissions, if required. Assisting on the negotiation of mandates and term sheets with lenders. Managing the drafting of various notices and obtaining various consents in accordance with the lenders CP Checklist. Supporting the management of Conditions Precedent (CP) Checklists; and as part of the Legal Affairs Team, to support other teams responsible for development and implementation of Projects (such as Development, Asset Management and PPCM), when capacity allows. Methodical and analytical with strong attention to detail. Strong written and verbal communication skills. Ability to build and maintain good relationships with key stakeholders. English (Read, write & speak). Qualifications: Bachelor Degree in Law. At least 3 years of PQE with financial deals/ transactions either within a Banking and Finance or Project Finance environment. Corporate M&A experience preferable. Working knowledge of financial principles.
