REQUIREMENTS:LLBAdmitted AttorneyDUTIES:Take accountability for implementing the legal programme and legal risk management of the company in order to drive its business strategy and objectives.
This includes:Ensuring compliance with relevant legislationManaging end-to-end contract managementDraft, review, and negotiate all legal documents and contracts (standard and non-standard agreements- including customer terms, supplier and 3rd party agreements)Providing legal advice and solutioning to Exco and all business stakeholdersRegularly reviewing and adjusting the framework to meet evolving business requirements.Managing the Vendor Management programme through collaboration with Procurement and IT RiskManaging all legal aspects of the Privacy ProgrammeKeep management updated on legislative developments.Manage the Companies Governance Programme Ensuring King IV, Companies Act and JSE Debt Listing Requirements compliance, including providing assurance to the EXCO and Board on compliance with corporate governance standardsEnsuring timeous reporting and SENS announcements as required by Debt Listing RequirementsManaging and reviewing governance frameworks and policiesCollaborating with and supporting the Finance Dept on Financial Year end preparations and reportingManaging the outsourced company secretary functions with a focus on co-ordinating and preparing materials for Social and Ethics Committee meetings and AGM of the ShareholdersProviding companywide awareness training and engagements on the Companies Ethical and Business Conduct Policies to drive an ethical culture.Responsible for championing of Sustainability initiatives in the business through the implementation of the ESG Roadmap
