VACANCY: LEGAL AND CORPORATE GOVERNANCE MANAGER REPORTING TO: Chief Financial Officer
LOCATION: South Africa (Durban) / MauritiusSAF AEROGROUP has a requirement for a professional with integrity and strong analytical and communication abilities to fill this position. The successful candidate will be responsible for ensuring that robust and proportionate corporate governance processesare implemented and adhered to, provide in-house legal advice and support, lead on all matters related to corporate governance, and advise on matters related to compliance and risk matters.
KEY PERFORMANCE AREAS:
Legal FunctionContract Management and Compliance Authority Matrix Adherence Implementation of the Corporate Governance frameworkRisk Management and ComplianceProject Analysis and ReportingCorporate Secretarial FunctionKEY JOB RESPONSIBILITIES:Act as the legal advisor, ensure legal compliance and maintain the corporate database. Effective drafting and reviewing of legal documents, within set deadlines. Ensure global adherence to the published authority matrix and governance models.Implement the corporate governance framework, thereby fostering transparency, accountability, ethical conduct, and stakeholder trust and supporting the achievement of business objectives and long-term sustainability.Ensure a sound compliance and risk function which safeguards the business by identifying, mitigating, and managing risks across jurisdictions.Ensure an effective company secretarial function directly supporting the realization of core business objectives. Ensure KYC Controls and compliance are adhered to, updated, and controlled. Corporate KYC Database is maintained for third-party requests at all times. CRITICAL REQUIREMENTS:Excellent verbal and written communication (English required, French advantageous)Excellent literacy skills with an extensive vocabularyHigh attention to detailProject Management skillsDeadline driven and effective time management skills to manage several overlapping work-streamsAbility to give constructive legal advice and feedbackAbility to work with a team or standalone and self-manage deadlines and tasks to completionPersonal integrityCompliance and risk managementAbility to work remotely from various teams needing assistance from global officeAdvanced knowledge in Microsoft Office 365 and DOCUSIGNLanguages: English (written and verbal essential), French (advantageous), Other (advantageous)QUALIFICATIONS AND POSITION REQUIREMENTS:The following list of qualifications is essential to fill the position:Tertiary qualification in Law/Legal or a related fieldKnowledge and proven experience in international law, specifically French, South African, Irish and Mauritian law (advantageous)Record of success in the preparation of contracts in a business environment, and can demonstrate effective contract writing skillsExperience in Company Secretarial, Corporate Governance and Compliance and Risk functions in a global environmentExtensive experience in drafting contracts, resolutions and agreementsExperience in Aviation (advantageous)Minimum of 3 years' experience in a similar role with demonstrated experienceThe above position will be filled in accordance with the Recruitment and Selection Policy to achieve the Groups Objectives and Goals.
