Reference: JHB003111-LdS-1The main purpose of this position is to implement and manage the day-to-day legal administration, drafting and reporting, in line with the company requirements and objectives and assist in operational and transactional activities.Duties & ResponsibilitiesRequirements:LLB degree (Additional Bcom degree would be advantageous).Completed Articles of Clerkship.Admitted Attorney of the High Court of South Africa (or complied with the necessary requirements and to be admitted).2 years post admission experience.Driver's license and own vehicle.A basic understanding of Town Planning principles and the applicable land use management legislation and policies.Experience in Property Law and conveyancing experience would be advantageous.Experience in agreements of sale of property, lease agreements, sectional title units and land availability agreements.Duties:The candidate will be responsible to assist with the implementation and management of the day-to-day legal administration, drafting and reporting, in line with the company's requirements and objectives and assist in operational and transactional activities, including but not limited to:Drafting and Review of Legal, Statutory and Regulatory documentation;Property Development and commercial transactions and agreements (drafting, reviewing, consultant appointments);Construction Agreements (JBCC and PROCSA);Town Planning and Property relation documentation and implementation;Finance Documentation (Guarantees, funding and security documents);Assist with implementing legal strategies and measures to mitigate risks indemnified in the Property Development function.Contract and conveyancing-related Responsibilities:Interpreting Legal Agreements, i.e. Lease Agreements, Agreements of Debt, Sale and land availability agreements, building contracts, development agreements.Consultation with the Company's legal team to ensure compliance with agreements as well as managing risks in respect of contracts concluded with third parties.Manage tracking and safekeeping of original agreements, bank guarantees, title documents relating to the ownership of properties including all relevant building approval, zoning approvals, governmental permits or other authorizations.Assist with dispute resolution and other conflict matters impacting on Property Development, including drafting and addressing letters of demand, land disputes, legal settlement negotiations and land rights and in collaboration with the Group Legal.Assist with the appointment of external counsel, with approval of Group Legal, to attend to the conveyancing of immovable property and overseeing the transfer process and registering of servitudes and notarial tie agreements and related matters.Transaction and risk mitigation-related responsibilities:Ensure effective and timely project reporting of all transactions and associated activities.Assist with the implementation of Property Development projects (in line with agreed authority) and in collaboration with the Group Legal.Implement remedial action as agreed by Group Legal and key business stakeholders.Compile minutes and submit board packs to allow for informed decisions and feedback.Ensure project administration, reports etc are delivered on time and within budget to the relevant parties.Ensure transactions are managed in accordance with the relevant processes and protocols, including completion/coordination of all required documentation.Monitor and provide feedback on critical dates and contract management (lease expiry dates, contractual deadlines as well as the planning accordingly thereto).Give effect to compliance and business policies in the execution of duties in respect of Property Development.Provide support to divisions within the company as and when required and in collaboration with the Group Legal.Assist with the legal management of the Company, within all the jurisdictions that the Company operates in.Support standardization of the Property Development legal approach throughout the Company.Provide facilitation and transactional legal support and contractual review, assist with the negotiation and drafting of all property-related agreements and provide legal guidance in relation thereto.Legal Administration related responsibilities:Assist with the management and administration of legal matters and transactions.Provide contracts and documentation to finance, internal audit and external auditors as may be required.Review all legal invoices in accordance with finance controls.Give ongoing feedback to the Group Legal and business units within the Company on activity and status of relevant legal matters and agreements.Package & RemunerationR 240000 - R 300000 - Annually
