Duties and Responsibilities (Include but are not limited to): Governance and Compliance: Support the implementation and management of governance frameworks, policies, and procedures for the Group and its subsidiaries in line with regulatory requirements. Ensure compliance with statutory requirements and regulatory obligations, including filings, registers, and records maintenance. Coordinate board and committee meetings, ensuring timely distribution of meeting packs, minutes, and resolutions. Maintain up-to-date records and filings with regulatory bodies in various jurisdictions, including African countries, the UK, and the EU. Board and Shareholder Support: Provide support to the Group's operating boards and committees, including scheduling, preparing agendas, and following up on action items. Facilitate communication between the Group holding companies and the operating companies, ensuring proper governance practices are followed. Liaison with External Parties: Work with local counsel, company secretarial advisors, and other external professionals to ensure adherence to local regulatory and compliance frameworks. Leadership and Management: Manage and mentor the Company Secretarial Assistant, delegating tasks effectively while providing oversight and guidance. Foster collaboration and communication across the Group's entities and with external stakeholders. Corporate Documentation: Manage the preparation, review, and submission of corporate governance documents, ensuring accuracy and adherence to legal requirements. Draft and amend governance policies, resolutions, and agreements as needed. Regulatory Reporting: Oversee the preparation and submission of annual returns, financial statements, and other required documents to relevant authorities.
Key Requirements A university degree in law, business, finance, governance, or a related field. A recognised company secretarial qualification (e.g., ICSA or equivalent). 5+ years of experience in a company secretarial role, with at least 2 years in an international or multi-jurisdictional context. Experience in financial services or fintech is an advantage. Knowledge of governance and regulatory frameworks in Africa, the UK, and the EU is highly desirable. Strong knowledge of corporate governance, legal and regulatory requirements, particularly in multi-jurisdictional settings. Experience working with boards of directors and senior executives. Proficiency in managing board and governance documentation and compliance reporting. Understanding of international business structures and regulatory requirements across various African jurisdictions, the UK, and the EU. Ability to draft and interpret governance policies, resolutions, and corporate documents. Familiarity with company secretarial software and tools.
Additional Skills Highly organised with an ability to manage multiple tasks and deadlines across different jurisdiction. Strong verbal and written communication skills to interact effectively with board members, external counsel, and regulatory bodies. Meticulous in preparing and reviewing governance documentation. Proven ability to manage and mentor junior staff while fostering teamwork and collaboration. Proactive in identifying governance challenges and developing practical solutions. Comfortable working in a fast-paced, dynamic environment with changing regulatory landscapes.
