About the Role We're looking for a dedicated Corporate Secretary to provide expert support to Board Committees, Management Committees, and Subsidiary Companies. This position requires someone who is deeply involved in the day-to-day operational aspects, including taking minutes, booking meetings, and ensuring that governance standards are maintained across the organization.
Key Responsibilities As a Corporate Secretary, you'll be responsible for:
Committee Support:Recording and maintaining accurate minutes of committee meetings.Formulating agendas in collaboration with the Group Company Secretary and Chairperson.Statutory and Governance Compliance:Administering and maintaining statutory books and records for the organization and subsidiaries.Ensuring compliance with corporate governance frameworks and relevant legislation (e.g., Companies Act).Providing guidance to committee members on their duties and responsibilities.Stakeholder Engagement:Liaising with directors to ensure awareness of applicable laws and regulations.Engaging with internal and external clients, ensuring service excellence.Research and Reporting:Conducting effective research and preparing comprehensive management reports.Quality Assurance:Ensuring all deliverables meet the organization's quality standards. What We're Looking For Qualifications: A degree in CIS, BCom (Law), BA (Law), or LLB.A postgraduate degree (LLM, MBA, or MBL) is an added advantage. Experience: Minimum 5–8 years of Corporate Secretary experience (Non-negotiable).Previous exposure to DFIs or state-owned entities is essential. Professional Registration: Membership with CGISA or a similar professional body focusing on governance and corporate secretarial practice. Knowledge & Skills: Strong understanding of the Companies Act, corporate governance principles, and statutory frameworks.Proficiency in SAP and MS Office (Excel, Word, PowerPoinSalary: R Job Reference #: 1145851
